[ For additional information, see the website noted above. ] ----------------------------------------------------------------------------------------- PCN Boston is a local chapter of Private Capital Network (PCN) – a growing association of private investors located across various states and provinces in multiple countries. The network also includes certain reciprocal-membership and/or deal-sharing arrangements among the chapters, and selectively with other angel groups, investment funds, and venture capitalists.
Membership is by invitation only. All Investor-Members of a PCN chapter must assert their qualification as an Accredited Investor as defined by the U.S. Securities & Exchange Commission, and must meet any relevant requirements of other authorities within their respective jurisdictions.
In most cases, any investment is made privately between each interested Investor-Member and the subject company. By policy, PCN discloses very little information (if any) regarding the number, size, or nature of the individual or collective investments made by its Investor-Members and/or other associated entities.
Cooperative efforts among interested Investor-Members in due-diligence investigations are typical, and a common set of terms for investment is usually employed by all PCN Member-Investors in any given round of fundraising.
Investment in both the development or early-stage companies and the acceleration of growth by established companies is considered, as well as the development and commercialization of selected technologies. PCN generally has no pre-set restrictions on the industry or geographic location of the investment opportunities it considers. Each chapter and individual Investor-Members may have narrower preferences at any particular point in time. [Note: Data below on preferences regarding company size, stage of development, investor time frames and returns to investors, etc., are very rough guidelines only. Such data is provided here primarily to support automated searches within this Angelsoft website.]
Each chapter typically meets monthly to consider presentations by several companies which are both seeking funds and have successfully completed a somewhat rigorous process of pre-qualification and prioritization by key PCN personnel.
Available time slots for chapter-meeting presentations are limited. In some cases, potentially attractive opportunities for which no timely opportunity to present at a PCN chapter meeting may be routed, at the sole discretion of PCN and with the consent of the funds-seeking company, to other channels of potential funding. It is not uncommon for Investor-Members to provide useful insights, introductions to potential key customers or business partners, and/or other sources of value to presenting companies, even if the Investor-Member(s) are not interested in pursuing actual investment.
There is no guarantee that applying companies will be invited to present to any chapter. There is no guarantee that any company presenting to one or more chapters of PCN will receive any follow-up consideration beyond the initial presentation. The is no guarantee that any level of funding whatsoever will be received.
TO BE CONSIDERED by PCN Boston for inclusion in its formal screening process, a non-refundable fee of USD 50.00 is required with the initial application. Each company that is ultimately invited to present to a meeting of PCN Boston and/or other PCN chapters also must complete a formal agreement and then pay an additional, non-refundable fee of USD 1,500.00 for each chapter to which they will be presenting. (A higher fee may apply for some other chapters.)
For those companies which officially receive and accept an offer to present at a PCN chapter, the obligations of PCN are fulfilled upon provision of that presentation opportunity on a mutually agreed date, and the subsequent forwarding of limited contact information for any Investor-Member interested in further discussions. All subsequent obligation(s), if any, are between the individual potential investors and the subject company.
